Please read this agreement carefully, as it contains important information regarding your legal rights and remedies.
This Affiliate Program Agreement (also known as the “Agreement”, “Affiliate Agreement”, “Terms and Conditions”, and “Affiliate Terms and Conditions”) is entered into by and between iWade Media Host, a private limited company (“iWade Media Host”) and the Partner (also known as “You”, “Affiliate Partner”, “Affiliate”), and takes effect on the date of electronic acceptance. This Agreement governs your usage of the Affiliate Program (the “Affiliate Program” or the “Services”). Your electronic acceptance of this Agreement indicates that you have read, understood, acknowledged, and accepted to be bound by it, as well as iWade Media Host’s Universal Terms of Service Agreement, which is incorporated herein by reference.
The terms “we,” “us,” and “our” relate to iWade Media Host. The terms “you,” “your,” “User,” “customer,” or “Affiliate” apply to any individual or entity who accepts this Agreement. Nothing in this Agreement shall be construed as conferring any third-party rights or benefits. iWade Media Host, in its sole and absolute discretion, may update or modify this Agreement and any policies or agreements included herein at any time, and such changes or modifications shall be effective immediately upon posting on the iWade Media Host website (this “Site”).
You acknowledge and agree that (i) iWade Media Host may notify you of such changes or modifications by posting them on this Site, and (ii) your use of this Site or the Services found on this Site following such changes or modifications (as indicated by the “Last Revised” date at the top of this page) shall constitute your acceptance of this Agreement as last revised. If you do not agree to be bound by this Agreement in its most recent revision, do not use (or continue to use) this Site or the Services available on it. Furthermore, iWade Media Host may from time to time send you an email informing you of changes or amendments to this Agreement.
It is therefore important that you keep your account (“Account”) information, including your email address, up to date. iWade Media Host takes no duty or obligation for your failure to get an email notification if the failure is due to an incorrect or out-of-date email address.
To join the Affiliate Program, fill out the affiliate signup form on the iWade Media Host website. We review all affiliate signups before deciding whether or not an application is accepted. If we think that your application is not suitable for the Affiliate Program, it may be rejected for any reason. You will NOT earn a commission for your own purchase, and you NOT earn a commission on a direct customer’s purchase.
As an Affiliate, you agree that:
Each sale will earn you up to 20% commission. Clients that purchase one-month hosting plans will not be eligible for commission. The maximum Commission for a single sale with Revenue Share offers is GHS 800. Any applicable taxes, fees, supplementary services (such as personal information protection), and domain pricing are not included. (For instance, a client paid GHS 800 for a one-year cloud hosting service) (taxes included)).
Here’s how your Commission will be calculated: GHS (800 – 140(Tax 17.5%) * 20% = 132). You will be paid GHS 132 Commission in total.
We reserve the right to change the Commission structure and method of calculation at any moment. Other Commission plans are not normal, but they can be addressed with your Account Manager after reviewing the Partnership.
If you disagree with the Commission due as reported, please submit an email to affiliates@iwadehost.com with your arguments and/or observations within 30 (thirty) days after the balance due or the date of the force majeure incident. Failure to send an email within the specified time limit will be considered an irrevocable acknowledgement.
If the purchase is canceled or refunded at the client’s request within 45 days, the Commission will not be credited. We reserve the right to investigate any transactions for potential fraud, whether committed by the Customer or you. We may suspend payment of any sum due to you for up to 180 days while We investigate and verify that the relevant transactions comply with the conditions of the Agreement, laws, and regulations.
Commissions that are more than 2 years old and have not been withdrawn will be taken out of your affiliate account’s balance.
At the beginning of each new month, we will send you the commission statement that is due in your affiliate area. Till the end of the preceding month, payout requests for the prior payment period should be sent via the designated email. For instance, by the end of August 2022, the request for July 2022 should be sent. Payments will be made by the 30th day of the current month. If the request is made after the previous month’s end, the payout will be included to the following round of payments. The minimum payout amount for withdrawal is GHS 500. Mode of payment is via Mobile Money or Bank Transfer.
The Affiliate and iWade Media Host acknowledge that they are working together as independent contractors and that nothing in this Affiliate Agreement will give rise to a partnership, franchise, joint venture, employment relationship, or other business arrangement. You have no authority to accept or make any promises or offers on iWade Media Host’s behalf. You are not permitted to make any claims that conflict with anything in this section on your website or in any other way.
Any conflict, claim, or dispute arising out of or related to this Affiliate Agreement shall be resolved in accordance with the laws and regulations of the Ghana in which the iWade Media Host organization managing your Affiliate account is based.
We have the right, at any time, to amend any rules or terms of this Affiliate Agreement. The Agreement’s revisions and/or supplements become effective immediately after they are posted to the iWade Media Host’s website. The current Affiliate Agreement Terms and Conditions are always publicly available on the iWade Media Host website. If you do not agree with the Affiliate Agreement’s revisions and/or supplements, you may cancel your account within 5 business days after the date of the amendments and/or supplements. This Affiliate Agreement may only be amended or supplemented by an authorized iWade Media Host officer.
This Affiliate Terms and Conditions Agreement cannot be changed or varied in any manner by an agent of, employee of, or person engaged in a contract with, iWade Media Host. The interpretation of this Affiliate Agreement will not be changed by any oral explanation or information provided by any party.
